Subscription and Billing Terms

1. Introduction
These Subscription and Billing Terms apply to all subscriptions and resources on the Current Cloud platform. They form part of the Master Product Terms and the Terms of Service. Your specific plan, drivers, and prices are set out in your Order (a signed Axaz Call-Off, Order Form, Partner Order Form (Partner Call-Off), or online checkout). The same billing structure applies whether you buy through Axaz, direct, or through a partner. Defined terms have the meaning given in the Master Product Terms.

All prices are in Norwegian Kroner (NOK) and exclude VAT unless your Order states otherwise.

2. Plans and Pricing Structure (Current Pricing Model)
Current Cloud is priced using a base platform fee plus variable drivers and optional modules. This structure — the set of plans, the units we charge on (the billing metrics), the variable drivers, and the optional modules — is the "Pricing Model". The Pricing Model described in this Section 2 is the one that currently applies; it may evolve over time as set out in Section 5. Your Order records the plan, drivers, metrics, limits, and prices that apply to you, and the Pricing Model recorded in your Order is the one that applies to you for your then-current term.


2.1 Base Platform Plans

  • Mini, Starter, Growth, Enterprise (SaaS): fixed recurring base fee per the selected plan, including a set allowance of users, integration processes, and AI tokens.
  • Enterprise Self-Hosted & Dedicated: custom pricing agreed in the Order. See the Self-Hosted and Dedicated Addendum.


2.2 Variable Drivers (Add-ons)
Where your usage exceeds your plan's included allowance, the following drivers apply at the rates in your Order:

  • Active Users (seats).
  • Integration Processes — both Monitored Processes (we observe) and Hosted Processes (we run the compute).
  • AI Token Consumption — measured in tokens used by the Service's AI features. A "token" is a unit of text processed by the underlying AI model, as reported by the relevant model provider. Token usage is measured by the Service and shown in the management console.

2.3 Data Core Module
The Data Core module is priced separately based on Processed Document Changes per month and the number of Business Rules, using the volume tiers in your Order. A document processed through the Bronze, Silver, and Gold tiers counts as three Processed Changes.

3. Billing Models

Your Order states which billing model applies:

  • Committed subscription (annual in advance): base platform fees and committed allowances are invoiced 12 months in advance. This is the standard model for Call-Off and enterprise Orders.
  • Pay-as-you-go: where offered (for example, direct click-and-buy), you are billed monthly in arrears for the resources you provisioned and consumed.

Overage on variable drivers is invoiced in arrears based on actual usage, unless your Order states otherwise.

4. Invoicing and Payment

  • Billing cycle: as stated in your Order (typically annual in advance for committed subscriptions, or monthly in arrears for pay-as-you-go).
  • Payment terms: payment is due within 14 days of the invoice date unless your Order states otherwise.
  • Payment methods: you must keep a valid payment method on file (for example, credit card or SEPA mandate) where the Service is billed automatically, or pay by invoice where agreed in your Order.
  • Partner-billed customers (Resale): where you buy through a partner on a resale basis, the partner invoices you under its own terms, and the Provider invoices the partner. The payment terms above apply between the Provider and the partner unless the Order states otherwise.

5. Renewals, Price Changes, and Changes to the Pricing Model

5.1 Renewal
Committed subscriptions renew automatically for the same term unless either party gives notice within the period stated in the Order (or, for Call-Offs, the notice period in the Axaz Service Agreement, which is 60 days before the next billing or licensing period).

5.2 Price changes (same model)
We may adjust prices for renewal terms, and where public taxes or fees change. We will give at least 30 days' notice of a price change. Standard rates may also be adjusted annually in line with the consumer price index.

5.3 Changes to the Pricing Model
We may also update the Pricing Model itself from time to time — for example, by adding, renaming, or restructuring plans; introducing, changing, or retiring variable drivers; changing the metric we charge on (such as how usage is measured or counted); or adding new optional modules. We do this so the Service can keep evolving, but we will not use it to unfairly disadvantage existing customers. The following protections apply:

  1. Your committed term is protected. A change to the Pricing Model does not change the plan, drivers, billing metrics, or prices recorded in your Order during your then-current committed term. For pay-as-you-go customers (no committed term), a Pricing Model change takes effect no earlier than the start of the next monthly billing cycle after notice.
  2. Notice. We will give you at least 30 days' notice before a new Pricing Model would apply to you (or the longer notice period in your Order or, for Call-Offs, the Axaz Service Agreement).
  3. Changes apply at renewal. A new Pricing Model takes effect for committed subscriptions at the start of your next renewal term, not mid-term.
  4. New modules and drivers are opt-in. A genuinely new optional module or driver is only charged to you if you choose to order or use it. We will not start charging you for a capability you did not order.
  5. Right to reject a material increase. If a Pricing Model change would, for your reasonably expected usage, materially increase the fees you pay for substantially the same use of the Service compared with your current model, you may, before it takes effect, either (a) continue on your existing Pricing Model and prices for one further renewal term of the same length, or (b) decline to renew and let the subscription end at the close of the current term, in each case without penalty or early-termination charge. Service Credits and amounts already due remain payable.
  6. No reduction in what you bought. A Pricing Model change will not reduce the core functionality or service levels of the plan you have ordered for your current term.

For customers in the partner channel, equivalent protections are given through the partner under the Partner Order Form and the Partner Agreement; a partner cannot apply a new Pricing Model to an End Customer's current term other than as permitted above.

6. Taxes

All fees exclude applicable taxes (such as VAT). You are responsible for any applicable taxes, which we add to the invoice where required by law.

7. Late Payments

If payment is not received by the due date, we may:

  1. Apply late-payment interest at the maximum rate permitted by law.
  2. Suspend access to the Service until the outstanding balance (including interest) is paid. Payment default beyond 30 days is a material breach.

8. Downgrades and Changes

You may request plan upgrades or driver changes at any time through the management console or your Order. Upgrades take effect on the next billing cycle unless agreed otherwise. Downgrades take effect at the end of the current committed term. Reductions in committed annual fees are not refunded mid-term.

9. Refunds

Because the Service is consumption- and commitment-based, all charges are final and non-refundable, except where required by law or expressly stated in the SLA (Service Credits).

10. Infrastructure and Third-Party Costs

For the Customer's own cloud subscription and Dedicated Hosting Models, you bear or directly negotiate the underlying infrastructure and AI API costs (for example, your own Azure or GCP subscription), as set out in your Order and the Self-Hosted and Dedicated Addendum. Any cost from your own vendors or third parties is your responsibility.

11. Relationship to the Sales Channels

  • Axaz channel: where Current Cloud is bought through Axaz AS, these Billing Terms are read together with the commercial terms in the signed Axaz Call-Off.
  • Partner channel: where Current Cloud is bought through a partner, these Billing Terms are read together with the Partner Order Form (Partner Call-Off).
  • Direct channel: where Current Cloud is bought direct, these Billing Terms are read together with the Order Form / online checkout.

If they conflict, the signed Order wins on commercial points, as set out in the Master Product Terms.
