Terms of Service

1. Definitions

  • "Service" refers to the Axaz Insight Tool, a Software-as-a-Service (SaaS) solution provided by the Company.
  • "Company", "we", "us", "our" refers to Axaz AS, org. nr. 926559745, Norway.
  • "Customer" refers to the legal entity purchasing and using the Service under this agreement.
  • "Authorized Users" are individuals authorized by the Customer to access and use the Service.
  • "Subscription Plan" means the pricing and feature tier selected by the Customer.

2. Acceptance of Terms

By accessing or using the Service, the Customer agrees to be bound by these Terms. If the Customer does not agree, the Service must not be accessed or used. If the Customer is accepting these Terms on behalf of a legal entity, the Customer represents that they have the authority to bind that entity.

3. Subscription and License

3.1 The Company grants the Customer a non-exclusive, non-transferable, and revocable license to access and use the Service solely in accordance with the selected Subscription Plan.

3.2 The Customer agrees to use the Service solely for internal business purposes and in compliance with applicable laws.

4. Customer Responsibilities

4.1 The Customer is responsible for the legality, accuracy, and appropriateness of all data submitted to the Service.

4.2 The Customer is responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account.

4.3 The Customer is responsible for notifying Axaz immediately of any unauthorized account use or security breach.

5. Service Availability and Support

5.1 The Company will provide service availability and support in accordance with the Service Level Agreement (SLA).

5.2 Scheduled maintenance and downtime will be communicated in advance as specified in the SLA.

6. Fees and Payment

6.1 The Customer agrees to pay fees as outlined in the Subscription Plan. All fees are non-refundable unless otherwise agreed in writing.

6.2 Late payments may result in suspension or termination of the Service.

7. Data Privacy and Security

7.1 The Company will process Customer data as outlined in the Data Process agreement (DPA).

7.2 The Company will not disclose Customer data to third parties, except to authorized Sub-processors listed in the Sub-processor List or as required by law.

8. Intellectual Property

8.1 The Service, including all associated intellectual property rights, remains the sole property of the Company.

8.2 Customer data remains the sole property of the Customer. The Company is granted a limited license to process Customer data solely to deliver the Service.

9. Acceptable Use

9.1 The Service may only be used in accordance with these Terms and applicable laws.

9.2 The Customer agrees not to:

  • Use the Service for unlawful purposes.
  •  Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Disrupt or interfere with the performance or security of the Service.
  • Share account credentials with unauthorized parties.

10. Customer Indemnification

The Customer shall indemnify, defend, and hold harmless Axaz AS and its affiliates, officers, employees, and agents from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Customer data, including any claim that Customer data infringes the intellectual property rights, privacy rights, or other rights of any third party;
  • The Customer's violation of these Terms or applicable law; or
  • The Customer's negligence or willful misconduct.

11. Limitation of Liability

The Company is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Service. The Company's total aggregate liability is limited to the fees paid by the Customer in the twelve (12) months preceding the claim.

12. Force Majeure

The Company shall not be liable for any delay or failure in performing its obligations under these Terms resulting from causes beyond the Company's reasonable control, including but not limited to:

  • Natural disasters, pandemics, or government actions;
  • Widespread internet outages or telecommunications failures;
  • Failures of third-party cloud infrastructure providers (including, but not limited to, Upcloud); and
  • Cyber-attacks, denial-of-service attacks, or other malicious acts by third parties.

13. Termination

13.1 The Customer may terminate their subscription with 60 days' written notice before the next subscription renewal date.

13.2 The Company may terminate access immediately for material breach of these Terms (including non-payment or violation of Section 9).

13.3 Upon termination, the Customer must cease using the Service, and any outstanding fees remain due.

14. Amendments

Axaz reserves the right to update these Terms with 30 days' advance notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Norway. Disputes will be subject to the exclusive jurisdiction of the District Court of Oslo (Oslo tingrett).
